Platform Fee Structure
NetGreen.com, which we refer to as the “Site,” is used by two different companies: NetGreen Capital LLC and NetGreen Capital Investments LLC.
NetGreen Capital Investments LLC offers investments under Rule 506(c) issued by the Securities and Exchange Commission (SEC). These investments are offered to accredited investors only and are referred to as Regulation D offerings on the Site. NetGreen Capital LLC is a “funding portal” as defined in section 3(a)(80) of the Securities Exchange Act of 1934. On the Site, you can review investment opportunities of companies offering securities under section 4(a)(6) of the Securities Act of 1933, also known as Regulation Crowdfunding or Reg CF. These investments are offered to everyone, not just to accredited investors.
NetGreen.com charges a platform fee to the investor once per investment commitment. This fee is held in escrow with your investment amount until the investment round closes. If the round is successful, the platform fees are released to the Site and the total investment amount is released to the issuer. If the round is unsuccessful or you cancel your commitment, both your investment amount and the platform fee will be refunded. NetGreen Capital LLC cannot receive fees for Regulation D offerings.
The current fee structure shown below is subject to change. NetGreen.com may also offer platform credits to reduce the fee amount for those who qualify.
